1. Agreement to Terms

These Terms of Service ("Terms") are a legal agreement between you and CEO Problem Solver's Club ("we," "us," or "our"). By accessing our website at ceoproblemsolvers.club or registering for any of our sessions or services (collectively, the "Services"), you agree to these Terms in full. If you do not agree, please do not use our Services.

2. About Our Services

CEO Problem Solver's Club hosts free, virtual peer problem-solving sessions for CEOs and business owners. Sessions are facilitated by subject matter experts and are designed to help participants share knowledge and find solutions to common business challenges. All sessions are free of charge.

We reserve the right to change, suspend, or discontinue any session or aspect of our Services at any time without notice.

3. Eligibility

Our Services are intended for business professionals — specifically CEOs, founders, and business owners. By using our Services, you confirm that:

•       You are at least 18 years of age

•       You are a business professional or are attending on behalf of a business

•       The information you provide during registration is accurate and truthful

•       You are not prohibited from using our Services under any applicable laws

4. Registration and Your Account

To attend sessions, you must register by providing your name, email address, and other requested information. You agree to provide accurate, current, and complete information. You are responsible for keeping your contact information up to date.

We may refuse registration or cancel your access at any time if we believe you have violated these Terms or if we determine that your participation is not appropriate for the group.

5. Recording Consent

ALL SESSIONS ARE RECORDED. By registering for and attending any session, you give your express consent to be recorded. This includes your voice, video image, name, and any statements you make during the session.

Recordings may be used by us for internal review, quality improvement, training, or, with appropriate consent, for marketing or educational content. If you do not wish to be recorded, do not attend our sessions.

6. Code of Conduct

Our sessions are professional environments. By attending, you agree to:

•       Treat all participants, hosts, and facilitators with respect

•       Not share confidential business information that belongs to others without their permission

•       Not record sessions independently without written permission from us

•       Not promote your own products or services in a way that disrupts the session

•       Not engage in harassment, discrimination, or any behavior that makes others feel unwelcome

•       Not share misleading, false, or harmful information

We reserve the right to remove any participant from a session or ban them from future sessions for violating this Code of Conduct.

7. Confidentiality

Sessions may include sensitive business discussions. By participating, you agree to keep confidential any information shared by other participants that is reasonably understood to be confidential. You may not share, publish, or disclose what other participants share without their express written consent.

This obligation survives after the session ends. We are not responsible for breaches of confidentiality committed by other participants, but we will take reasonable steps to address reported violations.

8. No Professional Advice

The information and ideas shared during our sessions are for peer discussion and general informational purposes only. Nothing shared in a session — by us, our hosts, or other participants — constitutes legal, financial, accounting, medical, or professional advice of any kind.

Always consult a qualified professional before making decisions based on information discussed in our sessions. We make no warranties about the accuracy, completeness, or usefulness of any session content.

9. Intellectual Property

9.1 Our Content

All content on ceoproblemsolvers.club, including session materials, branding, graphics, and written content, is owned by or licensed to CEO Problem Solver's Club. You may not reproduce, distribute, or create derivative works from our content without our express written permission.

9.2 Your Content

When you participate in a session, you grant us a non-exclusive, royalty-free, worldwide license to use, reproduce, and display content you share in the session (such as comments, ideas, or screen-shared materials) for the purposes of running our Services and, with your consent, for promotional or educational purposes.

You represent that you own or have the right to share any content you provide during sessions.

10. Third-Party Services

Our Services rely on third-party platforms, including Zoom for video conferencing, GoHighLevel/LeadConnector for session management, Mailchimp for email communications, Google Analytics for website analytics, and LinkedIn Sales Navigator for outreach. Your use of these platforms is subject to their respective terms of service and privacy policies. We are not responsible for the practices or performance of any third-party service.

11. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CEO PROBLEM SOLVER'S CLUB AND ITS OWNERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF, OR INABILITY TO USE, OUR SERVICES.

IN NO EVENT WILL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100 USD) OR THE AMOUNT YOU PAID US IN THE THREE MONTHS BEFORE THE CLAIM AROSE. SINCE ALL SESSIONS ARE CURRENTLY FREE, THIS MEANS OUR LIABILITY IS LIMITED TO $100 USD.

13. Indemnification

You agree to defend, indemnify, and hold harmless CEO Problem Solver's Club and its owners, officers, employees, and agents from and against any claims, losses, damages, liabilities, or expenses (including reasonable legal fees) arising from: (a) your use of our Services; (b) your violation of these Terms; or (c) your violation of any third-party rights.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to conflict of law principles.

For US-based participants, we recognize that certain state consumer protection laws may apply. We will make reasonable efforts to resolve disputes informally. If we cannot, disputes will be resolved in the courts of Ontario, Canada, unless mandatory arbitration or other dispute resolution is required under applicable consumer protection law in your jurisdiction.

By using our Services, you agree to resolve disputes on an individual basis and not as part of a class action.

15. Termination

We may terminate or suspend your access to our Services at any time, with or without notice, if we believe you have violated these Terms or for any other reason in our sole discretion. Sections 7, 8, 9, 11, 12, 13, and 14 will survive termination.

16. Changes to These Terms

We may update these Terms from time to time. When we do, we will post the updated version on our website and revise the Effective Date. Your continued use of our Services after changes are posted means you accept the updated Terms.
